1. Your Acceptance

("Harmony") including all content and functionality available through the Harmony .request.com and Harmony.com domain names, ("Harmony Website", "Harmony ", "Harmony Website", "Harmony" or "Website"), you signify your agreement to these terms and conditions (the "Terms of Service"). If you do not agree to any of these terms, please do not use Harmony. Although we may attempt to notify you when major changes are made to these Terms of Service, you should periodically review the most up-to-date version from the link of the Harmony login page. Harmony may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
2. Harmony Website
These Terms of Service apply to all users of the Harmony Website, including users who are also contributors of audio, photo, and video content, information, and other materials or services on the Website.
3. Harmony Accounts
In order to access Harmony , each user is required a unique Harmony account. You may never use another persons' account without permission. When creating an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Harmony immediately of any breach of security or unauthorized use of your account. Although Harmony will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Harmony or others due to such unauthorized use.
4. General Use of the Website-Permissions and Restrictions
Harmony hereby grants you permission to access and use the Website as set forth in these Terms of Service, provided that:
- You agree not to distribute in any medium any part of the Website, including but not limited to User Submissions (defined below), without Harmony's prior written authorization.
- You agree not to alter or modify any part of the Website.
- You agree not to access User Submissions (defined below) or Harmony Content through any technology or means other than the playback pages of the Website itself, the Harmony Media Player, or other explicitly authorized means Harmony may designate.
5. Your User Submissions and Conduct
User Submissions (uploaded media including audio, video, images, metadata) by all users must not infringe copyright holders. Harmony does not permit copyright infringing activities and infringement of intellectual property rights on Harmony , and Harmony will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. Harmony reserves the right to remove Content and User Submissions without prior notice.
6. Account Termination Policy
Harmony will terminate a User's access to Harmony if, under appropriate circumstances, they are determined to be a repeat infringer. Harmony reserves the right to decide whether Content or a User Submission complies with these Terms of Service for violations other than copyright infringement, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. Harmony may remove such User Submissions and/or terminate a User's access for uploading such material in violation of these Terms of Service at any time, without prior notice and at its sole discretion.
7. Digital Millennium Copyright Act
If you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing Harmony with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
- Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
All copyright notifications of claimed infringement should be mailed to Harmony, Copyright Notice, 100 Saratoga Village Blvd #45, Malta, NY 12020. For clarity, only DMCA notices should go to Harmony; any other feedback, comments, requests for technical support, and other communications should be directed to Harmony customer service through the Harmony online support pages. You acknowledge that if you fail to comply with all of the requirements of this Section 5(D), your DMCA notice may not be valid.
Counter-Notice. If you believe that your User Submission that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner's agent, or pursuant to the law, to post and use the content in your User Submission, you may send a counter-notice containing the following information to Harmony:
- Your physical or electronic signature;
- Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;
- A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and
- Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Albany, New York, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.
If a counter-notice is received, Harmony may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at Harmony's sole discretion.

YOU AGREE THAT YOUR USE OF THE Harmony WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, Harmony, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. The Website is controlled and offered by Harmony from its facilities in the United States of America. Harmony makes no representations that the Harmony Website is appropriate or available for use in other locations. Those who access or use the Harmony Website from other jurisdictions do so at their own volition and are responsible for compliance with local law.
11. Indemnity
You agree to defend, indemnify and hold harmless Harmony , its parent corporation, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Harmony Website; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Service and your use of the Harmony Website.
12. Ability to Accept Terms of Service
You affirm that you are more than 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service.
